Public Offer Agreement

This Public Offer Agreement ("Agreement" or "Offer") is a public offer by CampMeUp Ltd. ("Company", "Platform") addressed to any individual or legal entity ("User") who accesses and uses the CampMeUp mobile application and/or website (collectively, "Platform").

Acceptance (acception) of this Offer is performed by the User registering an account or otherwise using the Platform services. By accepting this Offer, the User confirms that they have read, understood, and agree to all terms set forth herein. This Agreement is legally binding upon acceptance.

1. Subject of the Agreement

The Company provides the User with access to an online marketplace platform for:

• Searching, viewing, and booking outdoor accommodation including campsites, glamping sites, RVs, caravans, cabins, huts, and private land;
• Listing and renting out the above types of accommodation and vehicles (for host users);
• Payment processing for accommodation bookings;
• In-app communication between guests and hosts;
• Other ancillary features described in the app.

The Platform acts as an intermediary marketplace. The Company does not own, operate, or control any listed properties or vehicles, and is not a party to accommodation contracts between guests and hosts.

2. Parties

• Company (Offeror): CampMeUp Ltd., [Company Registration Number Placeholder], registered at [Company Address Placeholder].
• User (Acceptor): any natural or legal person who registers on or uses the Platform.
• Guest: a User who books accommodation or a vehicle through the Platform.
• Host: a User who lists accommodation or a vehicle on the Platform.

3. Acceptance of the Offer

The Offer is considered accepted from the moment the User:

1. Registers an account by providing required information and confirming agreement to this Offer and the Terms of Use; OR
2. Completes a booking or listing action on the Platform without registration (where permitted).

Acceptance is irrevocable except as provided in this Agreement. The User may withdraw acceptance by deleting their account, subject to obligations already incurred (e.g., confirmed bookings).

4. Platform Fees and Payment Terms

4.1. Use of the Platform for browsing and searching listings is free of charge.

4.2. Completed bookings are subject to:

• A guest service fee (percentage of booking subtotal, displayed at checkout);
• A host service fee (percentage of booking subtotal, displayed in the host dashboard).

4.3. All payments are processed by Stripe, Inc. The User agrees to Stripe's terms of service by making or receiving payments through the Platform.

4.4. The Company reserves the right to modify fee structures with 30 days' prior written notice to users via email or in-app notification.

4.5. Host payouts are disbursed to the host's connected Stripe account within 2–5 business days of the guest's check-in date, subject to Stripe's payout schedule.

5. Rights and Obligations of the Company

The Company undertakes to:

• Provide Users with access to Platform functionality in accordance with this Agreement;
• Process payments securely through a certified payment processor (Stripe);
• Maintain reasonable data security standards;
• Provide customer support via the channels listed in Section 10.

The Company is entitled to:

• Modify, suspend, or terminate Platform features at any time with reasonable notice;
• Refuse service, suspend, or permanently ban users who violate this Agreement or applicable law;
• Remove listings that do not comply with Platform policies;
• Amend this Agreement in accordance with Section 9.

6. Rights and Obligations of the User

The User undertakes to:

• Provide accurate, truthful, and complete information during registration and use;
• Comply with all applicable laws in the User's jurisdiction;
• Not use the Platform for fraudulent, illegal, or harmful purposes;
• Pay all due fees and charges in a timely manner;
• Comply with the Terms of Use and Privacy Policy.

7. Intellectual Property

All rights to the Platform's software, design, trademarks, and content belong to CampMeUp Ltd. or its licensors. Users are granted a limited, non-exclusive, non-transferable right to use the Platform solely for its intended purpose. Any unauthorized use of the Platform's intellectual property is strictly prohibited.

8. Liability

8.1. The Company is not liable for the actions or omissions of hosts or guests, including the accuracy of listings, quality of stays, or property condition.

8.2. The Company's maximum liability to any User for direct damages shall not exceed the total service fees paid by that User to the Company in the 3 months preceding the claim.

8.3. The Company is not liable for indirect, special, or consequential damages.

8.4. The User is liable for all damages caused to the Company, other users, or third parties due to the User's breach of this Agreement or applicable law.

9. Amendments to the Offer

The Company may amend this Agreement at any time. Amendments take effect 14 days after publication on the website and notification to Users via email or in-app notice. Continued use of the Platform after the effective date of amendments constitutes acceptance of the updated Agreement.

10. Term and Termination

This Agreement is effective from the date of acceptance and remains in force until terminated. Either party may terminate the Agreement by closing the User's account, subject to fulfillment of all obligations arising before termination (including active bookings). The Company may immediately terminate the Agreement without notice in cases of fraud or serious violation of this Agreement.

11. Governing Law

This Agreement is governed by and construed in accordance with the laws of [Jurisdiction Placeholder]. Any disputes not resolved through negotiation shall be referred to the competent courts of [Jurisdiction Placeholder].
